PROFESSIONAL PROVIDER
TERMS OF SERVICE

These Trainer & Provider Terms (“Provider Terms”) constitute a legally binding agreement between you (“Trainer,” “Provider,” or “You”) and Elevare Wellness Network (“Elevare,” “the Network,” “We,” or “Us”). By registering as a provider on the Elevare platform or providing services to Network members, you agree to these terms.
1. INDEPENDENT CONTRACTOR STATUS

No Employment Relationship: You acknowledge that your relationship with Elevare is that of an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employer-employee relationship.

Control of Services: You retain sole control over the manner and means of performing your wellness services, subject to the quality standards and "Elevare Excellence" guidelines provided by the Network.

Taxes and Benefits: You are responsible for all federal, state, and local taxes. As an independent contractor, you are not eligible for any employee benefits provided by Elevare.
2. PROFESSIONAL REPRESENTATIONS & WARRANTIES
By joining the Network, you represent and warrant that:

Certifications: You hold all necessary licenses, certifications, and permits required by law to provide your specific wellness services (e.g., NASM, ACE, Registered Dietitian, etc.).

Insurance: You maintain active professional liability insurance (malpractice insurance) covering your services and will provide proof of such insurance to Elevare upon request.

Accuracy: All information provided in your professional profile is truthful and up-to-date.
3. USE OF THE PLATFORM (MHC-Now)

Content Ownership: You grant Elevare a non-exclusive, worldwide, royalty-free license to host, display, and distribute any workout plans, videos, or educational content you upload to the platform for the benefit of Network members.

Platform Integrity: You agree not to bypass the platform to solicit Elevare members for private engagements outside of the Network framework.

Data Privacy: You must handle all member health data in strict accordance with our Privacy Policy and applicable laws (such as HIPAA, where applicable).
4. FEES AND PAYMENTS

Revenue Share: Elevare shall retain a 10% administrative fee from all bookings made through the platform.

Payment Processing: Payments will be processed through the Elevare platform and disbursed to you on a [Monthly/Bi-weekly] basis, minus agreed-upon platform fees.

Cancellations: You agree to abide by the Network’s standardized cancellation policy [e.g., 24-hour notice] regarding session refunds.
5. CONDUCT AND ETHICS

The Elevare Standard: You agree to maintain a professional demeanor and provide services that align with the Network’s mission of holistic (physical, mental, and financial) wellness.

Non-Discrimination: You shall not discriminate against any member based on race, religion, gender, disability, or orientation.

Safe Environment: You are responsible for ensuring that any physical instruction you provide is performed in a safe manner relative to the member’s disclosed fitness level.
6. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Elevare Wellness Network from any claims, damages, or liabilities arising out of your professional services, your breach of these Terms, or any injury sustained by a member during your coaching sessions.
7. TERMINATION

Termination for Convenience: Either party may terminate this agreement with [30] days' written notice.

Termination for Cause: Elevare reserves the right to remove you from the Network immediately if you lose your professional certifications, receive repeated member complaints, or violate these Terms.
